These Terms of Use (“Terms”) govern your use of the Pion mobile application, website, and related products and services operated by Pion Social, Inc. (“Pion,” “we,” “us,” or “our”).
By creating an account or using Pion, you agree to these Terms, our Community Guidelines, and our Pion Balance and Refund Policy. You also acknowledge our Privacy Policy.
If you do not agree, do not use Pion.
Pion asks you to accept these Terms and our Community Guidelines in the app before you use your account, and again when they change materially.
Pion has zero tolerance for objectionable content and abusive users. See Acceptable Use.
1. Eligibility
You must be at least 18 years old and legally able to enter into a binding agreement to use Pion.
You may not use Pion if applicable law prohibits you from doing so.
If you use Pion on behalf of a business or organization, you represent that you have authority to bind that organization to these Terms.
2. The Pion Service
Pion is a platform where users can interact with artificial-intelligence models, explore different perspectives, and participate in conversations with other users.
Depending on availability, Pion features may include:
- AI-generated responses and conversations.
- Access to models provided by Pion or third-party AI providers.
- Public, private, and limited-audience conversations.
- Replies, challenges, comparisons, voting, reactions, and sharing.
- Direct messages and other communication tools.
- Collaborative, discovery, moderation, and content-distribution features.
- Paid models, Pion Balance, and other optional services.
Features may differ depending on your device, location, account, selected model, service provider, eligibility, or other factors.
Pion may add, modify, limit, suspend, replace, or discontinue any feature, model, provider, integration, price, usage limit, or part of the service.
We do not guarantee that any particular feature, model, provider, integration, price, usage rate, or content will remain available.
Some features rely on third-party services. Their availability, functionality, pricing, policies, and performance may change independently of Pion.
3. Accounts
You are responsible for:
- Providing accurate and current account information.
- Protecting your login credentials.
- Activity performed through your account.
- Keeping your contact information current.
- Promptly notifying us of suspected unauthorized access.
You may not sell, transfer, rent, or misuse an account.
Pion may require you to verify account information when reasonably necessary for security, payments, fraud prevention, legal compliance, or service integrity.
4. AI-Generated Content
AI-generated responses may be inaccurate, incomplete, offensive, outdated, misleading, or unsuitable for your circumstances. AI systems may present incorrect information confidently.
You are responsible for independently reviewing and verifying AI-generated content before relying on or acting upon it.
Pion does not provide medical, legal, financial, tax, investment, employment, or other professional advice. Do not rely on Pion as a substitute for a qualified professional or emergency service.
AI outputs may not be:
- Accurate or complete.
- Unique to you.
- Copyrightable or otherwise legally protected.
- Free from third-party intellectual-property or other rights.
- Suitable for a particular purpose.
As between you and Pion, you retain any rights you have in the prompts and other content you submit.
To the extent Pion obtains transferable rights in an AI output generated for you, Pion assigns those rights to you, subject to applicable law, third-party rights, applicable AI-provider terms, and these Terms.
This assignment does not guarantee that an AI output is copyrightable, unique, accurate, non-infringing, or otherwise legally protected.
To provide AI features, and with the permission described below, you authorize Pion to share your prompts, messages, images and other supported attachments, and relevant conversation history with OpenAI, Anthropic, Google, or xAI. This includes AI replies, image generation, titles, and background summaries. The provider depends on the model selected or configured for each feature and may differ between replies and background tasks.
In shared AI chats, this includes your contributions when either participant requests AI and when Pion creates background summaries and titles. Private AI chats may include assistant memory when enabled; personal assistant memory is not included in shared AI chats. Our Privacy Policy explains how this information is handled, including memory used across providers.
Pion asks for your permission in the app before it first sends your content to a third-party AI provider, and you can withdraw it at any time in Settings. Posting, replying, sharing chats, and editing profile text require this permission, because Pion checks that content for safety with OpenAI's moderation service before other people can see it.
5. Your Content and Data
“Your Content” means content you submit, upload, create, publish, or contribute through Pion, including prompts, posts, replies, images and other supported attachments, profile information, contributions to shared conversations, and AI outputs you choose to publish.
As between you and Pion, you retain any ownership rights you have in Your Content.
You represent that:
- You own Your Content or have the rights and permissions necessary to submit it.
- Your Content does not violate applicable law.
- Your Content complies with these Terms and our Community Guidelines.
- Your Content does not violate another person’s intellectual-property, privacy, publicity, contractual, or other rights.
License to Operate Pion
By submitting Your Content, you grant Pion a worldwide, non-exclusive, transferable, and sublicensable license to host, store, process, reproduce, adapt, translate, format, display, publish, transmit, and distribute Your Content as reasonably necessary to operate, secure, maintain, support, promote, and provide Pion.
This license allows Pion to make Your Content available according to the features and visibility settings you select.
This license does not transfer ownership of Your Content to Pion.
Public Content and Commercial Use
For content you make public, the license granted above also allows Pion to:
- Display and promote the content through Pion and its public discovery services.
- Distribute the content through Pion and related channels.
- Include the content in collections, compilations, datasets, and shared conversations.
- Use the content for research, analytics, evaluation, and product development.
- Use de-identified versions of the content to develop, train, test, and evaluate artificial-intelligence models and systems.
- Offer third parties paid API access to the content for single uses, such as showing a thread in an AI-generated response, with proceeds shared with contributors under the applicable program terms. Pion will not sell identifiable public content in bulk.
- License de-identified datasets derived from the content.
- Otherwise commercially use the content in connection with Pion and its current or future services and offerings.
These rights remain subject to applicable law, third-party rights, and applicable AI-provider restrictions.
Pion may determine whether, where, and how eligible public content is displayed, distributed, promoted, licensed, or commercially offered, including its format, audience, distribution method, commercial terms, availability, and price.
Private and Limited-Audience Content
Private and limited-audience content may be processed by Pion and service providers acting on Pion’s behalf as reasonably necessary to operate, secure, maintain, support, and provide the service.
Pion will not use the content of direct messages, shared AI chats, or incognito chats to develop, train, test, or evaluate AI models, recommendation systems, safety systems, or moderation systems, and will not include information derived from that content in any dataset.
Pion may use other private and limited-audience content, such as private AI chats and followers-only content, to improve the service and to develop, train, test, or evaluate Pion’s own AI models and machine learning systems, such as those used for recommendations, ranking, safety, moderation, and classification, only after updating our Privacy Policy, notifying you in advance, and providing a way to opt out. Content used to train AI models will be in Aggregated or Deidentified form.
Pion will include information derived from private AI chats in datasets licensed to third parties only in Aggregated or Deidentified form, only after updating our Privacy Policy and notifying you in advance, and only if you have given permission in the app. Content from anyone who has not given permission, including content created before Pion asks, is excluded. You may withdraw permission at any time, and withdrawal applies to datasets created afterward. Pion may offer rewards for taking part. Pion will not include followers-only content in datasets licensed to third parties.
Pion will not publicly display, sell, license, or commercially distribute identifiable private or limited-audience content to third parties for their independent use unless:
- You change its visibility.
- You provide permission.
- You participate in a feature or program that clearly includes that use.
- Processing or disclosure is reasonably necessary to complete an action you requested.
- Disclosure is required or permitted for legal, security, fraud-prevention, or safety purposes.
Pion may create, use, retain, license, sell, and otherwise commercially use Aggregated or Deidentified Information derived from use of the service. This does not apply to information derived from the content of direct messages, shared AI chats, or incognito chats. Using information derived from other private and limited-audience content is subject to the notice, opt-out, and permission described above.
Aggregated or Deidentified Information
“Aggregated or Deidentified Information” means information that does not identify and cannot reasonably be linked to an individual, account, or household.
Pion may use Aggregated or Deidentified Information to:
- Conduct research, analytics, and measurement.
- Develop, train, test, and evaluate artificial-intelligence models.
- Improve safety, moderation, recommendations, and service performance.
- Create datasets, benchmarks, reports, and data products.
- License or sell datasets and related products.
- Support other lawful commercial, research, and product-development purposes.
Pion will take reasonable measures designed to ensure that deidentified information cannot be associated with an individual, account, or household.
Pion commits to maintain and use that information in deidentified form and not attempt to reidentify it, except as permitted by law to test or validate the effectiveness of its deidentification processes.
When Pion discloses Deidentified Information to a recipient, Pion will contractually require the recipient to maintain it in deidentified form, not attempt to reidentify any person, and apply appropriate safeguards.
Unless separate program terms apply or Pion separately agrees in writing, the creation, use, licensing, sale, or commercialization of Aggregated or Deidentified Information does not create a right to compensation.
Commercial and Contributor Programs
Pion may establish programs under which eligible public content is commercially licensed, sold, distributed, or otherwise commercialized and contributors may receive a portion of qualifying proceeds.
These Terms do not require Pion to create or operate such a program.
Eligibility, contributor identification, allocations, payment calculations, thresholds, methods, timing, fees, taxes, exclusions, and other conditions will be governed exclusively by the applicable program terms.
Unless separate program terms apply or Pion separately agrees in writing, these Terms do not create a right to compensation.
Submitting or contributing content does not guarantee that the content will:
- Be commercially distributed.
- Be accepted into a commercial program.
- Generate revenue.
- Remain commercially available.
- Earn any payment or minimum amount.
Shared Content and Product Metrics
When multiple users contribute to shared content, each user retains any ownership rights they have in their individual contribution.
Participating in shared content does not give one user ownership of another user’s contribution.
Subject to the licenses above, Pion may display, distribute, license, sell access to, include in datasets, or otherwise commercially use public shared content as a whole.
Any “ownership,” “share,” contribution score, influence score, allocation, or similar measurement displayed by Pion is a product metric only.
A product metric does not:
- Create copyright ownership in another user’s contribution.
- Create ownership or equity in Pion.
- Create a partnership, employment, joint venture, or fiduciary relationship.
- Independently establish a right to payment.
- Independently determine the amount of a payment.
6. Advertising
Pion may introduce advertising, sponsored content, promoted content, or similar commercial features in threads, feeds, and profile pages.
Pion will not display advertisements in private AI chats, private direct messages, or private shared AI chats.
Any such advertising will be contextual and may be selected or displayed based on:
- The content or topic currently being viewed on those surfaces.
- The thread, feed, or profile page in which the advertisement appears.
- General language, location, device, or service context.
- Broad, aggregated, or deidentified service information.
Pion does not use private AI chats, assistant memory, private direct messages, or private shared AI chats to create, enrich, or maintain user profiles for advertising, or to select or target advertisements. These exclusions also apply to summaries, inferences, and other information derived from those sources, and to service providers acting on Pion's behalf.
Pion does not sell or license personal information, private content, or user-level advertising profiles to advertisers.
As of the Effective Date, Pion does not share nonpublic personal information with third-party advertising platforms for their independent use or for cross-context behavioral advertising across unaffiliated services.
Advertisers will not receive your private prompts, private messages, private conversations, or information that directly identifies you merely because an advertisement appears in Pion.
These advertising restrictions do not limit Pion’s rights to license public content or Aggregated or Deidentified Information for non-advertising research, data, commercial, and AI-development purposes under Section 5.
Pion may provide advertisers with aggregated or deidentified reporting concerning advertisement delivery and performance.
Pion may use service providers acting on its behalf to deliver, measure, secure, or support contextual advertising. Those providers may process limited information under contractual restrictions and may not use it for their own independent advertising purposes unless Pion updates its disclosures and obtains any notice, consent, or choice required by law.
Subject to the advertising restrictions above, Pion may continue:
- Licensing public content.
- Licensing or selling Aggregated or Deidentified Information.
- Operating commercial data or AI-development programs.
- Sharing information with service providers acting on Pion’s behalf.
- Making disclosures required or permitted by law.
If Pion materially changes its advertising practices, Pion will update its Privacy Policy and provide any notice or choices required by applicable law.
7. Visibility, Sharing, and Removal
Content may be public, private, available to selected users, or accessible through a share link, depending on the feature and settings you use.
Public content and content available through share links may be:
- Viewed by other people.
- Copied or downloaded.
- Cached or archived.
- Indexed by search engines.
- Quoted, linked to, or reshared.
- Accessible outside the Pion application.
Anyone who receives a share link may be able to access the associated content until the link expires or is revoked.
Revoking a link may not remove copies previously accessed, cached, downloaded, copied, or shared.
You may delete eligible content or request account deletion using the tools Pion makes available.
When you delete an account, a collaborative public thread remains only if another user contributed to it, and a reply remains only if it has an answer. Those retained records show the former account as “Deleted user” so another user's contribution does not lose its context. Direct-message participants keep their own messages and conversation access, while the deleted account's messages are removed. Pion may otherwise retain only:
- The other users' retained contributions and conversation records described above.
- Where a purchase, refund, chargeback, payout, or earned-revenue record exists, limited purchase, transaction, contact, and payment-provider identifiers for seven years for accounting, tax, refunds, chargebacks, legal claims, and financial disputes.
- Restricted backup copies until the applicable backup cycle expires.
Deletion cannot recall copies previously shared, licensed, cached, indexed, downloaded, or copied by other people or third parties.
Deletion does not require Pion to:
- Delete Aggregated or Deidentified Information derived from Your Content.
- Recall datasets or content lawfully licensed or distributed before deletion.
- Retrain or modify AI models, where applicable, that were previously developed or trained using information Pion was permitted to use.
- Delete the limited financial and transaction records that must be retained for the purposes and period described above.
The licenses granted under these Terms may continue after deletion to the limited extent reasonably necessary for these purposes.
8. Acceptable Use
You may not use Pion to:
- Violate applicable law or another person’s rights.
- Violate these Terms or our Community Guidelines.
- Harass, threaten, stalk, exploit, intimidate, or abuse another person.
- Promote violence, terrorism, sexual exploitation, or harm involving minors.
- Create, request, distribute, or facilitate illegal content or activity.
- Impersonate another person or organization deceptively.
- Commit or facilitate fraud, theft, identity theft, or other deception.
- Publish sensitive personal information without authorization.
- Distribute malware, phishing material, spam, or malicious code.
- Manipulate votes, rankings, payments, Pion Balance, moderation, reporting, or engagement systems.
- Artificially create or manipulate accounts, interactions, or engagement.
- Bypass access controls, safety systems, payment requirements, moderation controls, or usage limits.
- Scrape, crawl, harvest, or systematically extract Pion content or user information without written permission.
- Reverse engineer, disrupt, overload, damage, or gain unauthorized access to Pion.
- Use Pion content to create a competing dataset, model, product, or service without authorization.
- Help another person engage in prohibited conduct.
Pion has zero tolerance for objectionable content and abusive users. Objectionable content includes content that is illegal, sexually explicit, exploitative, hateful, harassing, threatening, or violent, and any other content our Community Guidelines prohibit. Abusive users include anyone who harasses, threatens, bullies, or exploits other people.
You can report content or an account from within Pion or by emailing support@pion.social. We review reports within 24 hours. We remove objectionable content and suspend or permanently terminate the accounts of users who post it or abuse others.
Pion may use automated systems, human review, user reports, or a combination of these methods to investigate suspected violations.
Pion may add warnings, reduce visibility, disable sharing or commercial eligibility, remove content, restrict interactions, suspend accounts, or take other reasonable action to protect users, third parties, and the service.
Pion may allow content to remain available while making it ineligible for recommendation, promotion, advertising, licensing, monetization, commercial distribution, or other features.
Content may be restricted from broad or commercial distribution based on legal, safety, advertiser, app-store, provider, reputational, quality, or brand-suitability considerations.
Pion’s decision not to remove or restrict particular content does not mean that Pion approves, endorses, verifies, or accepts responsibility for that content.
9. Balance, Payments, and Refunds
Pion may offer a U.S.-dollar-denominated service balance that can be used for eligible AI models, features, or services.
Pion Balance represents a limited contractual right to access eligible Pion services. It is not cash, legal tender, a bank or deposit account, a general-purpose payment account, or a financial investment.
Unless otherwise stated:
- Pion Balance does not expire.
- Pion Balance is non-transferable.
- Pion Balance has no cash value outside Pion.
- Pion Balance cannot be resold or exchanged between users.
- Pion Balance cannot be redeemed for cash, except where required by applicable law.
- Eligible usage will be deducted from your available Pion Balance.
Prices and usage costs may depend on the selected model, provider pricing, input and output size, supported attachments, processing requirements, tool usage, and other usage-related factors.
Pion may change balance-load prices, usage rates, models, providers, or pricing methods prospectively.
Except where required by applicable law or permitted by the platform through which a purchase was made, purchases are final and non-refundable.
Apple Purchases and Refunds
Apple purchases are processed under Apple’s payment and refund rules.
Refund requests for Apple purchases must be submitted using the methods Apple makes available, and Apple makes the final decision.
Where you have provided the required consent, Pion may provide Apple with information about the delivery or consumption of a purchase and Pion’s preferred outcome. Pion’s preference does not control Apple’s decision.
While an App Store refund request is pending and you have enabled the refund-information setting, Pion may temporarily reserve or deduct Pion Balance associated with the purchase.
If Apple denies or reverses the refund, Pion Balance deducted solely because of the request may be restored.
If Apple grants the refund, Pion may permanently remove the corresponding Pion Balance.
Additional refund and balance-adjustment rules are provided in our Pion Balance and Refund Policy.
Unused Pion Balance may be forfeited when an account is deleted, except where applicable law requires a different result.
10. Pion Intellectual Property
Except for Your Content and third-party content, Pion and its licensors own the application, website, software, source code, designs, interfaces, branding, trademarks, documentation, databases, service organization, and other intellectual property associated with Pion.
Pion grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to use the service for its intended purposes.
You may not use Pion’s name, trademarks, logos, branding, software, or other intellectual property without written permission, except as permitted by applicable law.
Feedback provided specifically to suggest improvements to Pion may be used, modified, implemented, published, and commercialized by Pion without restriction or compensation.
11. Copyright Complaints
You may not use Pion to infringe another person’s copyright, trademark, or other intellectual-property rights.
Pion may remove or restrict access to content that allegedly infringes intellectual-property rights and may suspend or terminate accounts of repeat infringers when appropriate.
Copyright complaints may be sent to support@pion.social.
Pion may publish a separate Copyright Policy describing the requirements for infringement notices, counter-notices, and its designated copyright agent.
12. Suspension and Termination
You may stop using Pion at any time.
Pion may restrict, suspend, or terminate access when we reasonably believe an account or activity:
- Violates these Terms or another Pion policy.
- Creates a security, legal, fraud, reputational, or safety risk.
- Misuses payments, Pion Balance, models, providers, or service infrastructure.
- Threatens Pion, another user, a third party, or the public.
- Interferes with the operation or integrity of the service.
- Exposes Pion or another party to potential liability.
- Must be restricted to comply with law or legal process.
Pion may act with or without advance notice depending on the seriousness and urgency of the circumstances.
Provisions concerning content and data licenses, payments, intellectual property, disclaimers, liability, indemnification, and disputes survive termination where appropriate.
13. Disclaimers
To the maximum extent permitted by law, Pion is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, Pion disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and uninterrupted operation.
Pion does not guarantee that:
- The service will always be available, secure, or error-free.
- Content will be accurate, complete, safe, lawful, or reliable.
- AI-generated content will meet your expectations.
- Content will not be lost, altered, restricted, or removed.
- A particular model, provider, feature, price, or usage rate will remain available.
- Use of Pion will produce a particular result.
Pion does not endorse or assume responsibility for AI-generated or user-generated content made available through the service.
Nothing in these Terms excludes warranties, remedies, or rights that cannot lawfully be excluded.
14. Limitation of Liability
To the maximum extent permitted by law, Pion and its affiliates, directors, officers, employees, contractors, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
To the maximum extent permitted by law, their total liability for claims arising from or relating to Pion will not exceed the greater of:
- The amount you paid directly to Pion during the 12 months before the event giving rise to the claim; or
- $100.
These limitations apply regardless of the legal theory of liability and only to the extent permitted by applicable law.
15. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Pion and its affiliates, directors, officers, employees, contractors, licensors, and service providers from claims, liabilities, damages, judgments, losses, and reasonable expenses arising from:
- Your Content.
- Your use or misuse of Pion.
- Your violation of these Terms or another Pion policy.
- Your violation of applicable law.
- Your violation of another person’s rights.
- Activity performed through your account.
Pion may control the defense of a covered matter, and you agree to reasonably cooperate.
You may not settle a covered claim in a manner that imposes liability, obligations, admissions, or restrictions on Pion without Pion’s written consent.
16. Changes to These Terms
Pion may update these Terms as the service, technology, business, laws, or risks evolve.
Material changes may be communicated through the app, website, email, or another reasonable method.
Updated Terms will identify their effective date.
Where required, Pion may request renewed acceptance.
Unless renewed acceptance is required, your continued use of Pion after updated Terms become effective constitutes acceptance of the updated Terms.
If you do not agree to updated Terms, you must stop using Pion.
17. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.
Before filing a formal legal claim, you and Pion agree to make a reasonable, good-faith effort to resolve the dispute informally.
Disputes will be brought in the state or federal courts located in Delaware, except where applicable consumer law provides a non-waivable right to bring a claim elsewhere.
18. General Terms
These Terms and the policies incorporated into them constitute the entire agreement between you and Pion concerning the service.
If a provision is invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain effective.
Pion’s failure to enforce a provision is not a waiver.
You may not assign these Terms without Pion’s written permission. Pion may assign them in connection with a financing, merger, acquisition, reorganization, asset sale, transfer of the service, or similar business transaction.
These Terms do not create an employment, agency, partnership, joint venture, fiduciary, franchise, or similar relationship.
Except as expressly stated, these Terms do not create rights for third-party beneficiaries.
Section titles are provided for convenience and do not affect the interpretation of these Terms.
